"User" means an entity using StraightSELL.
"Strategic Ecommerce" (BA), the company producing the StraightSELL service.
"Premium Services" time based consulting services requested by the User from Strategic Ecommerce from time to time.
It is a condition of use of this site that Users agree to these Terms and Conditions.
By clicking the "Activate Catalog" button Users agree to be bound by these Terms of Use.
The User warrants that they are either the person, or in the case of a corporation, an authorised representative of the corporation, that is named as the User in the registration form. It is a breach of this User agreement and also a misrepresentation with both potential civil and criminal consequences for a person to register as a User that they are not authorised to represent for this purpose.
Strategic Ecommerce reserves the right at any stage to contact a User to confirm both the validity of the account and also the currency and security of the passwords used.
Strategic Ecommerce reserves its right to do everything necessary to avoid abuse of the free trial period including without limitation:
Strategic Ecommerce reserved it right to refuse a free trial period to any User at Strategic Ecommerce's absolute discretion. This right maybe exercised where it appears that a User is trying to use multiple free periods under different names; where the User has uploaded copyright material to which they do not own the rights or own rights to use; where the User has uploaded offensive or illegal material, or material inciting illegal behaviour, where the User has attempted to upload Viruses, or Trojans to corrupt, damage or compromise the StraightSELL hosting infrastructure, or for other reasons at Strategic Ecommerce's discretion.
(Please note that if Strategic Ecommerce suspects this behaviour has been intentional it will ask police to initiate criminal investigations).
At the conclusion of the free trial period no fees are payable unless the User chooses to sign up. (i.e. do nothing and no liability).
Rights to Refuse service to paying User.
From time to time information that would normally be available through the site (including supplier's catalogs) may not be able to be accessed online because of technical or other problems. Strategic Ecommerce expressly excludes liability to any user of this site in respect of the unavailability of content regardless of whether or not this unavailability is caused by the negligence of Strategic Ecommerce.
Pricing for the various levels of StraightSELL subscriptions is contained on the StraightSELL.net site. Strategic Ecommerce reserves its rights to change pricing at any time at its absolute discretion. However, a User will not be bound by new prices unless and until the following procedures have been applied:
The User is give at least 6 weeks notice (be email notification) of an intended price change. In this time the User may choose to cancel their subscription.
Strategic Ecommerce is aware there are many companies with efficient systems to debit your credit card but many with slack systems when it comes to stopping the direct debit. Strategic Ecommerce provides a receipted cancellation service where you are given a cancellation number and date. All you have to do is send an email from the Pricing page. Cancellations take affect from the end of the month in which the message is sent. You remain liable to the end of the month but not beyond. If you chose to pay annually and cancel part way through that pre-paid period no refund will be payable on the used portion of your subscription.
Users choosing to continue beyond the free three month trial period agree to be liable for the fee's relating to their chosen StraightSELL subscription from the date on which they sign up to the end of the calendar month in which they give Strategic Ecommerce notice of cancellation the User agrees that the applicable fee's will be directly debited to their credit card for this periods monthly (or annually if this is chosen). The User also agrees that any time based Premium Services requested will be directly debited to the User chosen credit card.
The User agrees to indemnify Strategic Ecommerce against any claim for loss or damage of any kind by any third party arising out of, or in relation to, the use of StraightSELL by the User.
Strategic Ecommerce retains copyright in all template styles and designs displayed by StraightSELL on your site.
Strategic Ecommerce may from time to time register specific URL's to be used in your StraightSELL catalogue to increase search engine rankings. Strategic Ecommerce retain ownership of all URL's created, as this is not part of the core service covered by the StraightSELL pricing.
